    POSITION:             Vice President and Associate General Counsel – Strategy and Growth

    REPORTS TO:         Executive Vice President/General Counsel

    LOCATION:            San Francisco, Pasadena, Sacramento or Phoenix Corporate Offices




    The Dignity Health Legal Department (“Legal Department”) is responsible for the provision and management of the legal services and affairs for Dignity Health and its hospitals, subsidiaries and affiliated businesses or ventures (collectively “Dignity Health”).  The Vice President and Associate General Counsel-Strategy and Growth (“AGC-Strategy and Growth”):


    • Serves as a member of the Legal Department.
    • Reports to the Executive Vice President/General Counsel (“GC”).
    • Manages, directs, supervises and coordinates the legal services performed by the Legal Department in support of Dignity Health’s system-wide and service area or geographically-based strategic and/or growth initiatives (“Strategy and Growth”). 
    • Acts as a key strategic legal advisor, counselor and business partner to Dignity Health’s Executive Leadership Team and corporate or service area senior management teams on matters relating to Strategy and Growth.
    • Has direct oversight, supervision and reporting responsibility for any of the Legal Department’s attorneys, paralegals or other staff, wherever located, whose primary role is the performance of legal services and support for Strategy and Growth (the “Strategy and Growth Group”).
    • Participates actively as a member of the Legal Department’s Leadership Team (“LLT”) and is engaged in the Legal Department’s planning, management, administration, direction and decision-making.

    The AGC-Strategy and Growth must be respected, both intellectually and professionally, by the GC, the other Vice Presidents/Associate General Counsel (“AGCs”) and the other members of the Legal Department, most particularly with respect to his/her substantive experience, knowledge and understanding of the health care industry, and the legal and transactional considerations relevant thereto.  


    As a part of his/her role, the AGC-Strategy and Growth assures (either directly or through supervision of others in the Legal Department) that legal and regulatory issues and developments relevant to Strategy and Growth are communicated to and understood by the appropriate constituents, and that legal considerations are integrated into the applicable strategies, initiatives, business plans, transactions, and corporate policies, procedures, processes and practices.  S/he also identifies and helps to mitigate legal risks, and to protect Dignity Health from undue or significant legal exposure, liability and financial loss, while facilitating the achievement of strategic and operational goals, objectives and initiatives. 


    The AGC-Strategy and Growth proactively supports the GC, and communicates regularly with the GC, the LLT and the Legal Department on matters related to Strategy and Growth.  S/he is aligned with the GC on the functional structure and strategic direction of the Legal Department, and works closely with the GC to realize the Legal Department’s objectives and goals.  S/he also maintains excellent working relationships with the other AGCs, the members of the Strategy and Growth Group, and the other members of the Legal Department generally.




    In addition to the key functions described in the Position Overview, the AGC-Strategy and Growth possesses the following responsibilities and accountabilities:


    Professional Responsibilities


    • Directs, supervises, manages and performs legal services for, and represents and supports, Dignity Health on transactional and other matters related to Strategy and Growth with other health systems, hospitals, physicians, providers or non-provider entities and organizations (whether nonprofit, for-profit, public, private, or private equity-backed companies), including corporate, partnership and other forms of joint ventures and strategic investments; mergers, acquisitions and dispositions; management agreements or arrangements; joint operating companies, arrangements and agreements; and affiliations or other transactions.
    •  Counsels, advises and performs legal services for Dignity Health’s Executive Leadership Team and corporate senior management (including, without limitation, the Senior Vice President-Corporate Strategy and Growth, the Senior Vice President – Treasury and Strategic Investments, the Vice President – Partnership Integration, and the Chief Strategic Innovation Officer), service area leadership (including the Service Area Presidents/Senior Vice Presidents-Operations and Service Area Chief Strategy Officers) hospital leadership (including the Hospital Presidents and Chief Strategy Officers), and other affiliates’ leadership (collectively the “Dignity Health Leadership Teams”), on significant transactional, joint venture, operational, management and other matters related to Strategy and Growth.
    • Works as the business partner of the Dignity Health Leadership Teams, either directly or in conjunction with other members of the Strategy and Growth Group or Legal Department generally (including the GC, other AGCs, other attorneys and paralegals), to help plan, implement and realize the operational, organizational and strategic goals, objectives and initiatives related to Strategy and Growth, and to consider, develop and/or implement creative and innovative legal structures and solutions for such goals, objectives or initiatives. 
    • Serves as the client service liaison between the Legal Department and the Dignity Health Leadership Teams, and is primarily responsible for the performance of legal services, on matters related to Strategy and Growth. 
    • Provides legal services or advice to the GC, other AGCs and other attorneys or paralegals of the Legal Department, when and as requested, on matters or services related to the Legal Department’s other functional areas (e.g., Hospital Operations, Physician Integration, Innovation and Technology, Regulatory and Compliance, etc.).
    • Is the subject matter expert in the Legal Department on arrangements and issues relevant to the transactional, corporate, legal and business aspects of Growth and Strategy, including the general health care strategic landscape and applicable federal, state and local legal, legislative and regulatory considerations.
    •  Manifests a commitment to Dignity Health’s mission, vision and core values; acts and demonstrates behavior consistent with the Dignity Health’s core values in fulfilling the duties and responsibilities described in this Position Description; and contributes to a positive working environment in the Legal Department for all employees.


    Administrative Responsibilities

    •  Supervises, administers and directs the members of the Strategy and Growth Group and other attorneys or paralegals in the Legal Department in multiple locations engaged in the day-to-day performance of legal services related to Strategy and Growth.


    • Provides the members of the Strategy and Growth Group and other attorneys in the Legal Department with the leadership, guidance, oversight, structure, tools and resources needed to effectively perform legal services related to Strategy and Growth.
    • Serves as a resource, mentor and coach for members of the Strategy and Growth Group and other attorneys in the Legal Department on transactional and operational issues, organizational matters, professional development and growth opportunities.
    • Manages, coordinates and assists with the assignment and allocation or reallocation of work load related to Strategy and Growth among members of the Strategy and Growth Group, other attorneys within the Legal Department, and outside counsel.
    • Coordinates with the GC and/or other AGCs to facilitate the performance of legal work or services by members of the Strategy and Growth Group with and for the Legal Department’s other functional areas (e.g., Hospital Operations, Physician Integration, Innovation and Technology, Regulatory and Compliance, etc.).
    • Attends and actively participates as a key representative of the Legal Department in corporate meetings related to Strategy and Growth, including the Executive Growth Leadership Team, the Strategic Growth Team, the Strategic Growth Subcommittee, and other similar teams or groups, and reports on matters or issues discussed at the meetings to the GC, LLT, the Strategy and Growth Group and the Legal Department.
    • Engages in proactive and ongoing communication with the Dignity Health Leadership Teams to coordinate efficient and effective legal support in the area of Strategy and Growth.
    • Works in close collaboration with the LLT regarding the overall effective and timely delivery of legal services to Dignity Health.
    • Travels when and as necessary throughout Dignity Health to perform the role and responsibilities described herein, and to engage with members of the Strategy and Growth Group, the Legal Department, and the Dignity Health Leadership Teams.
    • Directs and manages the engagement of outside legal counsel, either directly or by other members of the Strategy and Growth Group, for transactions, matters or issues related to Strategy and Growth consistent with the outside counsel guidelines, standards, policies and practices established from time to time by the LLT, including developing pricing and alternative fee structures for transactional matters, establishing expected work product, timing and performance standards for outside counsel, and specifying other expectations of the outside counsel that perform legal services on behalf of Dignity Health in the area of Strategy and Growth.
    • Supervises and oversees the performance of legal services for Dignity Health by outside legal counsel on matters related to Strategy and Growth to assure that outside legal services are provided in an efficient, cost effective and timely manner within the construct established in the engagement.
    • Supports the GC by assuring that the Strategy and Growth Group’s legal services are performed:
      • In a cooperative and competent manner with the goal of acting in Dignity Health’s best interests and in collaboration with other members of the Legal Department or with Dignity Health’s other corporate functions (e.g., Compliance, Internal Audit, Privacy and Security, Human Resources, Information Technology, SSRM, etc.).
      • With the appropriate degree of quality, excellence, consistency, effectiveness and efficiency as expected of the Legal Department.
      • In a manner that helps to achieve the client’s goal or expected outcome and results in a positive client experience.






    • A Juris Doctor or equivalent degree from an accredited law school, admission to the State Bar of California, Arizona or Nevada (or eligibility under the Registered In-House Counsel or similar provisions of such State Bar), and licensure in good standing without any instances of suspension, revocation, censure or other adverse events in any jurisdiction.
    • A minimum of 12-15 years experience involving the provision and management of transactional-related legal services for health systems, hospitals, physician organizations and/or other health care delivery organizations (whether as inside and/or outside counsel), with an emphasis on joint ventures, mergers/acquisitions/dispositions, affiliations, and corporate transactional matters.
    • A minimum of 5 years of experience in a senior legal position in an in-house legal department or law firm, such as general counsel, managing partner, associate/assistant general counsel, senior counsel/client service leader, practice group or department chair, co-chair or leader, or other similar leadership role.
    • Significant experience and broad knowledge in the following substantive legal areas (including the federal, state and local laws, rules and regulations applicable thereto) as related to Strategy and Growth:
      • Fraud and abuse.
      • Anti-kickback and physician self-referral laws.
      • Tax exempt organizations and the principles related thereto, including inurement, private benefit and excess benefit transactions.
      • Nonprofit corporations, including charitable trust principles.
      • Federal and state securities law.
      • Provider licensure, certification, accreditation and conditions of participation.
      • Payment and reimbursement.
      • Financing and debt-related transactions.
      • Reimbursement and payment for health services.
      • Managed care and managed care contracting, including risk- and value-based contracts.
      • Physician and non-physician/business contracts.
    • A good working knowledge of (i) other substantive legal areas and considerations that may impact Strategy and Growth and health systems generally, and (ii) the Affordable Care Act or other legal developments and their implications on Strategy and Growth.
    • Familiarity with the legal and operational issues and considerations specific to Catholic or other faith-based health care systems.
    • Satisfaction of, or will develop a plan with the GC to meet within a specified time frame, the competencies established by the Legal Department for an Associate General Counsel (see attached).
      Excellent contract drafting and negotiations skills.
    • Excellent written and verbal communication skills, including the ability to communicate complex legal, business and compliance concepts in a clear, concise and practical manner to the executives, governance, employees, physicians and outside or third party legal counsel.
    • Demonstrated ability to multi-task, and to manage and turn-around significant and diverse work flow in an effective and timely manner.
    • Demonstrated ability to manage a team of attorneys and support staff in an increasingly complex health care environment, ensuring effectiveness, efficiency and responsiveness, with a focus on employee engagement and involvement.
    • Demonstrated ability to identify legal risks or issues, to apply relevant law and organizational policies to such risks or issues, to communicate clearly the considerations, legal and otherwise, related to such risks or issues to management and others, and to develop creative and effective strategies or solutions for resolving such issues or risks, if possible.
    • Capability to think strategically, to assess the legal and business implications of initiatives and strategies, and to present or comment on legal options in support of such initiatives and strategies.
    • A system oriented thinker with the skills to analyze complex relationships and situations, think outside the box, take action, and promote entrepreneurial, creative, innovative and legally acceptable approaches or solutions to business or legal matters – a “thought leader”.
    • A commitment to the client experience, transparency and accountability, and to high quality legal services.
