Overview

The purpose of Dignity Health Management Services Organization (Dignity Health MSO) is to build a system-wide integrated physician-centric, full-service management service organization structure. Responsibilities

The Paralegal/Contracts Specialist reviews and consults on a variety of contract templates, and certain client-form contracts (including drafting revisions thereto).  Paralegal/Contracts Specialist will coordinate with internal business stakeholders and external clients to ensure that contracts are efficiently and effectively entered into.  Paralegal/Contracts Specialist will work directly with legal team to provide recommendations to business on compromise positions and will elevate unresolved legal issues regarding to contract language to members of the legal department as appropriate.  The Paralegal/Contracts Specialist position reports to the Manager – Contracting, within the Contracting Department.

Qualifications

Review and prepare a range of contract types, including Provider and Ancillary agreement templates, Management Services agreement templates, and Business Associate agreements (including drafting revisions thereto).  Paralegal/Contracts Specialist will elevate unresolved legal issues regarding contract language to a member of the legal department as appropriate.  Paralegal/Contract Specialist’s primary focus is to ensure business needs and priorities are met while minimizing potential risks. 

 

Read, understand, and analyze standard business and legal terms, identify issues and risks, and suggest potential solutions.  Participate in and assist with the resolution of contract discussions.

 

Utilize and maintain contract forms, templates, standard clauses, checklists, guidelines, and policies.

 

Assist with contract efficiency and contract tracking with legal.  Examples may include submitting initial contract request, monitoring contract status, and tracking the progress using appropriate tracking tools.

 

Other duties as assigned.

  • Paralegal’s certificate from an ABA approved institution required, Bachelor’s degree preferred.
  • Legal/contracts background required, transactional paralegal experience preferred.
  • Analytical, critical thinker with regards to contracts; strong communication and organizational skills; exercises sound judgment.
  • Minimum 5 years of experience with contracts review and administration.
  • Proficiency with Microsoft application suite, especially with MS Word and MS Excel. Experience with implementation and use of a contracts management databas
  • Keen attention to detail and excellent analytical ability
